Showin Organizer Agreement

Contract version: 2026-10-20Provider: Patmos Software LLCContact: israel@patmos.io · patmos.io

Last updated (contract version): 2026-10-20 Proposed parties: Patmos Software LLC (“Patmos”) and the person or entity creating or managing the event (“Organizer”). Legal details for Patmos and Organizer: [pending provider detail]. Contact: israel@patmos.io · patmos.io

1. Service

Patmos grants the Organizer limited access to Showin to create white-label event pages, publish information and tickets, manage registrations and payments, and use QR access control tools. The specific scope depends on the plan, configuration, and available features.

The Organizer may delegate access to co-organizers and door staff. It must assign appropriate permissions, remove access that is no longer needed, and supervise its use.

2. Setup and platform fee

The Organizer will pay the setup charge quoted for each event before the event becomes active for ticket sales in Showin. No monthly subscription is assumed unless expressly agreed.

Paid tickets incur a 0.9% Showin platform fee on the total Showin charges the buyer for the order, after discounts, in the event currency; taxes are not calculated inside Showin, a refund does not change the fee already recorded on the order, and the fee is calculated when the order is created. Stripe, Mercado Pago, and other intermediary charges are additional and set by the provider. Any plan, exception, or different fee must be recorded in writing.

The Organizer is responsible for taxes, receipts, accounting duties, and charges related to ticket sales. [Pending provider detail: invoicing of setup and fees, withholding party, and tax documents by country].

3. Payments and funds

Subject to availability and configuration, buyers may pay through Stripe, Mercado Pago, or cash. Electronic providers apply their own terms, controls, charges, verification, reserves, and settlement timing. The Organizer must complete onboarding and keep its accounts in good standing.

Cash is collected by the Organizer or its staff. The Organizer must accurately mark it in Showin and issue receipts where required. The platform does not hold cash.

The Organizer authorizes Patmos to apply the agreed fee through the enabled payment flow or collect it using the confirmed commercial method. For electronic payments, Showin operates the platform account at the payment provider, applies the agreed fee to the order, and credits the balance to the account the Organizer enabled at that provider, once the provider's charges are deducted; cash is collected by the Organizer. [Pending provider detail: merchant of record, settlement, chargebacks, and reconciliation by region.]

4. Organizer responsibilities

The Organizer is the event producer and is responsible for it. It must:

  • Publish accurate information and keep the date, location, capacity, accessibility, pricing, terms, and changes current.
  • Obtain permits, licenses, insurance, and approvals, and comply with safety, consumer, tax, intellectual property, and privacy rules.
  • Set admission, re-entry, transfer, cancellation, and refund rules; disclose them before purchase and honor mandatory rights.
  • Respond to attendees about questions, changes, cancellations, refunds, accessibility, and event delivery.
  • Train door staff and protect credentials and devices. Review scan discrepancies before denying entry when reasonable.
  • Use attendee data only for the event and disclosed purposes; honor rights requests and delete or export data as instructed and required by law.
  • Avoid uploading unlawful, deceptive, discriminatory, or unauthorized content.

The Organizer will not describe Patmos as the event producer, guarantor, or seller unless agreed in writing. It must display its identity and an effective attendee contact.

5. Tickets and QR access control

Showin may issue a digital ticket with a QR code for door validation. The Organizer must not publish individual QR codes, must share access only with authorized staff, and must report suspected misuse.

QR codes and ticket status may change or be invalidated when a ticket is transferred, refunded, or revoked. Online scans can block duplicate use; available offline modes synchronize records after connectivity returns and may require review. The Organizer makes final admission decisions subject to law and the announced event terms.

6. Privacy and data processing

The Organizer determines the data and questions it requests and, for that processing, acts as controller where defined by law. Patmos processes that data to provide the Service under documented instructions. Each party will meet its applicable duties and will not instruct unlawful use.

The Organizer must provide clear notices, have a legal basis, limit fields, obtain required consent, and handle attendee rights. It must promptly notify Patmos of requests, incidents, or instructions affecting the Service. It will not upload sensitive or minor data unless an enabled flow, justified need, and valid authorization exist.

Patmos may use infrastructure and payment providers to operate the Service. Provider details, countries, transfers, safeguards, retention, assistance, and deletion will be completed in a data processing addendum: [pending provider detail].

7. Content, marks, and license

The Organizer retains rights to its content and authorizes Patmos, for the term of the Service, to host, reproduce, and display it to provide the page, sales, and event administration. The Organizer warrants it has sufficient permissions and that its content does not infringe third-party rights.

Patmos retains all rights in Showin, its marks, and software. No ownership or license beyond the limited use of the Service is granted to the Organizer.

8. Availability, support, and changes

Patmos will use reasonable efforts to provide the Service and may deploy maintenance, changes, and fixes. It does not guarantee continuous availability or operation of networks, devices, or third-party providers. [Pending provider detail: support, response times, service level, maintenance and incident notices].

The Organizer must keep event and contact details current, review exports, and report failures promptly. Patmos may limit features to protect the platform or comply with law.

9. Term and termination

The agreement starts when the approved version is accepted or the relevant order is signed, and continues through the event and closeout tasks unless ended earlier. The acceptance method is the acceptance checkbox in the event signup flow in Showin, which records the contract version and the date; [pending provider detail: term and renewal].

Either party may terminate for a material breach not cured within [pending provider detail: number of days] after notice. Patmos may suspend immediately for fraud, security risk, non-payment, or legal requirement. The Organizer must honor buyer commitments, resolve refunds, and pay accrued charges.

On termination, access, export, retention, and deletion of data will follow the data processing addendum and legal periods. [Pending provider detail: export and deletion period].

10. Warranties, liability, and indemnity

The Organizer is responsible for the event, its legality, and its relationship with attendees. Patmos is responsible for providing the platform within the agreed scope, without guaranteeing sales, attendance, results, or third-party decisions.

Nothing limits liability that the law prohibits limiting. Caps, exclusions, Organizer indemnity, and third-party claim handling: [Pending provider detail: negotiation with counsel, including exceptions for willful misconduct, gross negligence, privacy, and intellectual property as required by law].

11. Jurisdiction, documents, and contact

The Service contemplates Argentina and may be used in other jurisdictions. The Organizer must confirm it may operate the event in each location and comply with local rules. Governing law, venue, dispute process, and precedence among the agreement, plan, and terms: [pending provider detail], without waiving non-waivable rights.

This draft will be supplemented by the plan or commercial proposal and, where appropriate, a data processing addendum. Contact: israel@patmos.io · patmos.io.
